misconduct, conviction of a felony, and a breach of fiduciary duties to the corporation. <br />A Director may be removed from office pursuant to this section at a special meeting, <br />after written notice specifying the allegations against the Director. <br />ARTICLE IX. DIRECTORS VACANCIES <br />Section 9.1 Community Director Vacancies. If a Community Director's seat becomes vacant by <br />reason of death, resignation, retirement, or otherwise, the City initially filling the vacant <br />seat shall select a successor who shall hold office for the unexpired term. <br />Section 9.2 Fire Department Vacancies. When such a vacancy occurs among the three active Fire <br />Department Directors, the election to fill such vacancy shall occur at a special <br />membership meeting called within sixty days of the vacancy. <br />ARTICLE X. OFFICERS <br />Section 10.1 Titles. The Officers of the corporation shall be Chief Executive Officer, President, <br />Vice President, Recording Secretary, and Treasurer. The Board of Directors may, from <br />time to time, appoint other corporate officer positions as they deem necessary. Except <br />for the Chief Executive Officer who shall be the Fire Chief, the officers of the <br />corporation shall be elected from and by the Board of Directors. <br />Section 10.2 Terms of Office. Except for the Chief Executive Officer, the officers of the corporation <br />shall hold office for one year or until their successors are chosen and qualify. Any <br />officer elected or appointed by the Board, except the Chief Executive Officer, may be <br />removed from office by the affirmative vote of the majority of the entire Board of <br />Directors, with or without cause. The Chief Executive Officer may only be removed in <br />accordance with Section 12.4. <br />Section 10.3 Duties. The duties of the officers of this corporation shall be; <br />10.3.1 Chief Executive Officer. Responsible for day-to-day operation of Fire Department as <br />set forth in Article 12. <br />10.3.2 President. The President shall: preside at all meetings of the Corporation and Board of <br />Directors; enforce the provisions of the By-laws; appoint committees not otherwise <br />provided for by the Board or the By-laws; and perform such other duties as required by <br />law. <br />10.3.3 Vice -President. The Vice -President shall, in the absence or disability of the President, <br />perform the duties and exercise the powers of the President and shall perform such <br />other duties as the Board of Directors shall prescribe. <br />10.3.4 Recording Secretary_. The Recording Secretary shall: keep a correct record of the <br />proceedings of the Corporation; sign all orders on the Treasury authorized by the <br />Board; read all documents and conduct the general correspondence received by the <br />corporation pertaining to the Corporation and keep same on file for future reference; <br />bring to the attention of the Board of Directors matters pertaining respectively to them; <br />notify all members of the Board of Directors of all meetings of the Board; and on <br />3 <br />
