11 <br />TW185\1\1011577.v13 <br />Related Security, as defined herein, will be withheld until the “as constructed” plan is accepted by <br />the City Engineer. <br />10. OWNERSHIP OF INFRASTRUCTURE IMPROVEMENTS. Developer shall <br />notify the JDA upon completion of the Infrastructure Improvements lying within easements, and <br />the JDA shall inspect the completed Infrastructure Improvements and notify Developer if any of <br />the Infrastructure Improvements do not conform to the Plans requirements of this Agreement. <br />Promptly upon compliance with this Agreement with respect to the Infrastructure Improvements, <br />and with the exception of the portion of the Stormwater System Improvements that are not to be <br />owned by the City, the JDA shall give formal notice of acceptance of the Infrastructure <br />Improvements lying within public easements to Developer and upon such notice, the Infrastructure <br />Improvements lying within public easements shall become City or County property, as <br />appropriate, without further notice or action, and thereafter Developer shall have no responsibility <br />with respect to the maintenance of the Infrastructure Improvements lying within public easements, <br />except during any warranty periods. <br /> The Developer shall, at its expense, prepare any streets which are in the public right of way <br />and are included within the Infrastructure Improvements for snowplowing and other maintenance <br />prior to formal acceptance by the City of such streets. This preparation shall include, without <br />limitations, ramping any manholes as necessary to avoid damage to snowplows or other vehicles <br />used in street maintenance. Should damage occur to City snowplows or other vehicles during the <br />course of snowplowing or other maintenance procedures prior to formal acceptance of the street <br />by the City, the Developer shall pay all such damages and shall indemnify and hold the City <br />harmless for all such damage, cost, or expense incurred by the City with regard thereto.
