Andersen and Rekuski have agreed to the sale of the Property <br /> I to Rekuski. or a limited liability comoany in which Rekuski has an <br /> I interest. For the ourooses of this Aareement. all references to <br /> I "Rekuski" shall be deemed to include any such limited liability <br /> I comoanv. whether formed before or after the Closinq. The word <br /> I "Closina". as used in this Aareement shall refer to the closinq on <br /> I such sale. <br /> E. The parties to this Agreement have generally agreed to certain <br /> matters in order to facilitate the transfer of the Property from <br /> Andersen to Rekuski, protect the interest of the City in the rights <br /> which it has obtained as a result of the commencement of the <br /> proceeding pursuant to the HBS. <br /> F. The parties wish to memorialize their agreement in writing and <br /> therefore agree as set forth below. <br /> AGREEMENT <br /> 1- Obliaations/Role of Andersen. Upon the execution of this . <br /> Agreement, Andersen shall pay to the City the amount of <br /> , which amount constitutes the approximate amount of <br /> the City's expenses chargeable against the Property or the owner <br /> thereof pursuant to the Act. It is understood that this figure is <br /> a good faith estimate. When the exact amount is calculated , the <br /> difference shall be paid by Andersen or reimbursed by the City <br /> within five (5) days of notice thereof. The City represents that <br /> the final figure will not be in excess of 10% of the figure above. <br /> 2. Obliaations/Role of Rekuski. <br /> a. Rekuski agrees to be substicuted as and considered the <br /> "Owner" of the Property for the purposes of any further <br /> action under the Act, and shall be responsible for all of <br /> the Owners responsibilities thereunder. Rekuski hereby <br /> acknowledges receipt of the Resolution and Findings. <br /> b. Rekuski also agrees as follows: <br /> :a <br /> . <br />
