<br />A <br /> <br />\ <br /> <br />II. Cooperation. <br /> <br />e <br /> <br />The City and the National Guard shall cooperate and use their best efforts to ensure <br />expeditious implementation of the provisions of this Agreement. The parties agree to undertake <br />in good faith the resolution of any disputes that may arise in an equitable and timely manner. <br /> <br />III. Office Space. <br /> <br />The city hall complex to be constructed by the City at City expense on the parcel and shall <br />include, office space for use by the National Guard for public meetings and other appropriate <br />purposes. The space to be provided for use by the National Guard shall meet or exceed the <br />standards set out below: <br /> <br />A. The office space shall consist of a minimum of 320 square feet. <br /> <br />B. The office space shall be separated from the remainder of the city hall complex by a wall <br />and door. The office space shall be finished to an extent similar to other offices in the city hall <br />complex and shall include at a minimum: carpeting, a suspended ceiling, lights, and telephone <br />capability consistent with the remainder of the city hall complex. <br /> <br />C. The office space shall include a locking door so that the National Guard can secure said <br />space. <br /> <br />e <br /> <br />D. The National Guard shall have full access to the described office space, including nights, <br />weekends or other times when the remainder of the city hall complex is not open. <br /> <br />E. The City shall provide normal utilities (electricity, heat, water, sewer and garbage) for <br />the described office space at its own expense and at the same level as for the rest of the city hall <br />complex. <br /> <br />F. The National Guard shall pay for telephone and data services to the office space. <br /> <br />G. The National Guard shall comply with all normal city procedures and practices for <br />securing the city hall facility. <br /> <br />H. The National Guard shall have the exclusive right to use the office space as described <br />above for a period of not less than five (5) years. The five-year period shall commence upon <br />date that the National Guard takes occupancy of the office space. <br /> <br />1. Extension of use of office space: The parties anticipate that extension of the National <br />Guard's use of the office space provided for herein may be in the best interests of the parties. <br />Accordingly, one year prior to expiration of the five-year period, the parties shall meet to discuss <br />extension of the National Guard's use of the office space upon such terms as may be reasonable <br />at that time. <br /> <br />e <br /> <br />2 <br />
