. . Accounting methods shall he in accordancc with generally accepted accounting principles. GRANTEE agrees that Ramsey County, the lIRA, the State Auditor. or any of their duly authorizcd representatives at any time during normal husiness hours. and as often as they may reasonably deem necessary, shall have access to and the right to examine, audit, excerpt. and transcribe any hooks, documents, papers, records, etc.. which are pertinent to its accounting practiees and procedures and involve transactions relating to this Agreement. Such materials shall be maintained and such access and rights shall be in force and effect during the period of the Agrcement and for six (()) years after its termination or cancellation. 5. Independent Contractor It is agreed that nothing contained in this Agreement is intended or should he construed as ereating the relationship of agents, partners, joint ventures, or associates oct\vecn the parties hereto or as constituting GRANTEE as the employee or Ramsey ('ounty or the HRA f()r any plll1Jose or in any manner whatsoever. GRANTEE is an independent contractor and neither it, its employees, agents nnr rcpresentati ves are employees of Ramsey County or the BRA. From any amounts due the GRANTEE, thcre will he no deductions for federal income tax or FICA payments, nor f()]' any state income tax, nnr for any other purposes, which are associated with an employer-employee relationship unless required by law. Payment of federal income tax, FICA payments, and state . income tax are thc responsibility of the GRANTEE. 6. Indemnification GRANTEE shall indemnity, hold harmless, and dclcnd Ramsey County, the IIRA, their nl1icials, employees and agents from any and all liability, loss, costs, damagcs, expenses, claims or actions, including attomey's fees, which Ramsey County, the HRA, their officials, employees, and agents may hereafter sustain, incur or be required to pay, aJising nut of or by reason of any act or omission of the GRANTEE, its agents or employees, in the execution, performance, or failure tn adequately perform the GRANTEE's obligations pursuant to this Agreement. 7. 1nsurancc a. GRANTEE shall purchase and maintain such insurance as will protect it fi'om claims which may arise out of. or result from, its operations under this Agreement, whether such operations are by the GRANTEE or by any suhcontractor. or by anyone directly employed by them, or by anyone for whose acts or omissions anyone orthcm may be liable.
