A
draft agreement is attached for your consideration. The terms of the agreement follow what we’ve
discussed previously, with a maximum contribution from each partner being $35,000, and Rice Creek
contributing $50,000. However, it is presented slightly differently in the attached draft agreement.
While $35,000 still represents approximately 3% of the total project budget (as previously
discussed), the draft agreement presents the number as 22.6% of the – i.e. the share not
covered by the grant. It’s structured this way to account for the possibility of actual costs being less
than estimated costs. If actual costs estimated costs, RCWD will cover the difference, and
partners will not pay more than $35,000. If actual costs are estimated costs, contributions
from each partner will be reduced equally, while maximizing grant fund usage. Actual costs will be
tallied as part of grant reporting.

Please review the agreement and let me know if you have questions. I’d be happy to meet to discuss
further. If you feel the agreement is acceptable, we can convert if from to , filling-in missing
information and adding signature blocks.

Thanks much,

Matt Kocian
Lake and Stream Manager
Rice Creek Watershed District
763.398.3075
