". f~, I ADOPTING FIND:r:NGS <br />OF FACT, CONCLUSIONS, AND RECOMMENDED <br />RESOLUTION REGARDING THE TRANSFER OF <br />OWNERSHIP AND CONTROL OF GROUP W CABLE, <br />INC. AND THE TRANSFER OF THE FRANCHISE <br />ORDINANCE TO NORTH CENTRAL CABLE COMMUNI- <br />CATIONS, L.P. <br /> <br />..,: <br /> <br />INTRODUCTION <br /> <br />The North Central Suburban Cable Communications Com- <br />mission II (hereinafter "Commission") is organized pl.lrsuant <br />to the terms of a Joint and Cooperative Agreement. for the <br />Administration of a Cable Television Franchise (hereinafter <br />HA9feement"), as authorized by Minnesota Statutes Section <br />411'..59, as amended. The Member Cities of the Commission <br />include Blaine, Centerville, Circle Pines, Coon Rapids, Ham <br />Lak~, Lexington, Lino Lakes, and Spring Lake Park, Minnesota <br />(her~inafter "Member Cities"). <br /> <br />This proceeding involvesche Commission's review, on <br />beh.lf of the Member Cities, of a request by Group W Cable, <br />Inc. and Group W Cable of the North Central Suburbst Inc. <br />(heieinaftercollectively "Group W") to approve the transfer <br />of .ownership and control of Group Wand transfer of the <br />Cable Communications Franchise Ordinance to North Central <br />Cab1..,e Communications, L.P. (hereinafter "North Central"). <br /> <br />Notice is hereby given that the Member Cities will make <br />the~final determination of this matter. Further, notice is <br />her~by given that the Member Cities, may at their own dis~ <br />oretion, accept or reject the Commission's recommendation <br />and that said recommendation has no legal effect unless ex- <br />pressly adopted by the Member Cities as their final deci- <br />sion. <br /> <br />STATEMENT OF ISSUE <br /> <br />The purpose of this proceeding is to determine whether <br />the Member Cities of the Commission should consent to the <br />transfer of ownership and control of Group wand the trans- <br />fer of the Cable Communications Franchise Ordinance (herein- <br />after "Franchise") to North Central. <br /> <br />Based upon all the proceedings herein, the Commission <br />makes the following: <br /> <br />FINDINGS OF FACT <br /> <br />1.
