City of Gem Lake <br />June 19, 2006 <br />Page 2 <br />We will start our services promptly after receipt of your authorization and will complete our services for <br />the Project within twelve (12) months from the date authorized on the notice to proceed. If there are <br />delays in the Project that are beyond our control, you agree to grant additional time to complete the <br />services. <br />You agree, to the fullest extent permitted by law, to limit SEH's total liability for any and all claims, <br />expenses, or damages in any way related to the services provided under this Agreement to the total sum <br />paid to SEH for providing these services. <br />If conflicts arise during the performance of these services, we agree they shall be submitted to non- <br />binding mediation unless we have mutually agreed otherwise. <br />This letter and Exhibit A represent the entire understanding between you and us in respect of the Project <br />and may only be modified in writing signed by both of us.
