We have completed months of meetings and discussions, completed the review of many drafts, and provide a new Agreement that appears to add important features to the operation and management of VLAWMO. I am providing you with an outline of the key features of this FINAL Copy of the Agreement. Organization of Proposed New Agreement. We reorganized the current Agreement into an easier read, more logically organized proposed new Agreement. As a result, we added a section on "Financing" [Section VI], separated the organization of VLAWMO and the Board into two sections [Sections III and IV], and moved the Definitions section (with a few added definitions) from the Appendix to Section II. I included the following sections in this version: SECTION I General Purpose SECTION II Vadnais Lake Area Watershed SECTION III Definitions SECTION IV Organization of VLAWMO; Responsibilities Of Members SECTION V Organization of The Board Of Directors SECTION VI Responsibilities and Duties of The Board Of Directors 1 SECTION VII Responsibilities and Duties of Technical Commission 1 SECTION VIII Financing VLAWMO SECTION IX Duration Of This Joint Power Authority SECTION X Dissolution SECTION XI Counterparts We cleaned up all statutory and Minnesota rules references both as to language and consistency. 2. Governance of VLAWMO We have created a Board of Directors composed of elected officials from each Member municipality to manage VLAWMO, including approving and recommending operating and capital improvement budgets, oversight of watershed operations, and matters required of VLAWMO by state law and rule. The new governance is a two part organization replacing the single organization structure that reflects on the significance of managing surface waters in our watershed area. We have proposed this reorganization with stronger emphasis on (1) technical matters and (2) "business" matters. 3. Creation of a Technical Commission We have created a Technical Commission, accountable to the Board of Directors, composed of appointed representatives from each Member to provide the technical expertise for the planning and operations of VLAWMO. 4. Financing VLAWMO Section We added this section because of the references to budgets and financing VLAWMO were spread throughout the earlier version and the present Agreement.
