WATSON, MAYOR OFFICE 651-490-1653 FAx 651-415-2939 <br />TO: Members of VLAWMO <br />DATE: November 14, 2006 <br />RE: VLAWMO Joint Powers Agreement - FINAL 11/6/06 (11/14/06) tnw version <br />I prepared this summary to identify the changes made to complete this FINAL Copy of the Joint <br />Powers Agreement. We have completed months of meetings and discussions, completed the <br />review of many drafts, and provide a new Agreement that appears to add important features to the <br />operation and management of VLAWMO. I am providing you with an outline of the key features <br />of this FINAL Copy of the Agreement. <br />Organization of Proposed New Agreement. <br />We reorganized the current Agreement into an easier read, more logically organized <br />proposed new Agreement. As a result, we added a section on "Financing" [Section VI], <br />separated the organization of VLAWMO and the Board into two sections [Sections III and <br />IV], and moved the Definitions section (with a few added definitions) from the Appendix <br />to Section II. I included the following sections in this version: <br />SECTION I General Purpose <br />SECTION II Vadnais Lake Area Watershed <br />SECTION III Definitions <br />SECTION IV Organization of VLAWMO; Responsibilities Of Members <br />SECTION V <br />Organization of The Board Of Directors <br />SECTION VI <br />Responsibilities and Duties of The Board Of Directors <br />1 SECTION VII <br />Responsibilities and Duties of Technical Commission <br />1 SECTION VIII <br />Financing VLAWMO <br />SECTION IX <br />Duration Of This Joint Power Authority <br />SECTION X <br />Dissolution <br />SECTION XI <br />Counterparts <br />We cleaned up all statutory and Minnesota rules references both as to language and <br />consistency. <br />2. Governance of VLAWMO <br />We have created a Board of Directors composed of elected officials from each Member <br />municipality to manage VLAWMO, including approving and recommending operating <br />and capital improvement budgets, oversight of watershed operations, and matters <br />required of VLAWMO by state law and rule. The new governance is a two part <br />organization replacing the single organization structure that reflects on the significance of <br />managing surface waters in our watershed area. <br />We have proposed this reorganization with stronger emphasis on (1) technical matters and <br />(2) "business" matters. <br />3. Creation of a Technical Commission <br />We have created a Technical Commission, accountable to the Board of Directors, composed <br />of appointed representatives from each Member to provide the technical expertise for the <br />planning and operations of VLAWMO. <br />4. Financing VLAWMO Section <br />We added this section because of the references to budgets and financing VLAWMO were <br />spread throughout the earlier version and the present Agreement. We have introduced the <br />following substantive changes: <br />
