7. Indemnification: Contractor shall defend, indemnify and hold harmless <br />the City, its officers, agents, and employees from all claims, damages, <br />losses, and expenses (including, but not limited to, attorneys fees) <br />which may be incurred or for which they may suffer or for which they <br />may be liable as a result of the negligence of the Contractor, its <br />employees or its subcontractors in the performance of this Contract. <br />8. Insurance: Contractor shall provide a Certificate of insurance as proof <br />of general liability coverage for bodily injury or death in the amount of <br />$1 million and for damages to property in the sum of $200,000. <br />The Contractor sha!l also provide a Certificate of Vehicle Liability <br />Insurance in the amount of at least $1,000,OQD. <br />The Certificate of Insurance shall name City as an additional insured, <br />and state that Contractor's coverage shall be the primary coverage in <br />the event of a loss. Further, the Certificate shah provide for thirty (3D) <br />days' written notice to City before cancellation, expiration, or change <br />of coverage. <br />9. Workers' Compensation Insurance: Contractor shall provide evidence <br />of Workers' Compensation Insurance covering all employees of <br />Contractor engaged in the performance of this Contract in <br />accordance with the Minnesota Workers' Compensation Law. <br />10. Performance and Payment_ Bond: Contractor shall execute and <br />deliver to City a Performance and Payment Band with a corporate <br />surety in the sum of $25,000.00 or equal ("equal" may include a <br />Letter of Credit from a banking institution approved by City). This <br />Contract will not become effective until such a bond, in a form <br />acceptable to City, has been delivered to pity and approved by the <br />City Attorney. <br />The contract shall be subject to termination by City at any time if said <br />bond shall be canceled or the surety thereon relieved from liability for <br />any reason. The term of such Performance Bored shall be for the life <br />of the contract. Extensions or renewals shall require the execution <br />and delivery of a Performance Bond in the above amount to cover the <br />period of extension or renewal. <br />Governing Law: The contract shah <br />- be controlled by the laws of 'Ifie <br />State of Minnesota. <br />9 <br />
