any third party. The City acknowledges that Redeveloper has, during the term of this Agreement, the exclusive right to deal with the City on matters relating to the redevelopment of the Redevelopment Area, and the City will do nothing which is inconsistent with that right. Redeveloper understands, however, that much of the real property in the Redevelopment Area is owned by third parties and that the City camiot preclude the development thereof by its owners; provided, however, the City agrees to consider implementing an interim ordinance pursuant to Minnesota Statutes 462.355 as necessary for the protection of the planning phases of the Redevelopment Area, andprovided further that the City reserves the right to seek the Redeveloper's written consent to modifications or exclusions from this paragraph on a case-by-case basis which the Redeveloper abarees to consider and determine in its reasonable discretion and within a reasonable timefi•ame, and to inform the City of its decision promptly in writing. (b) The City agrees to promptly process all applications relating to the Redevelopment. The City shall take reasonable steps consistent with its statutory authority and legislative discretion, where applicable, to initiate and complete or cause to have completed on a timely basis all necessary and appropriate governmental actions needed to redevelop the Redevelopment Area, including, but not limited to, those actions set forth in Section 11. 6. Phased Development. (a) Redeveloper and the City acknowledge that the Redevelopment Area may be redeveloped in non-contiguous phases over a number of years. The redevelopment of the Redevelopment Area, including the scope, nature and location of phased redevelopment, will be subject to such priorities as Redeveloper and the City, in ids their reasonable judgment, deems consistent with the Master Plan and market conditions, taking into consideration the following variables: timing, geographic areas within the Redevelopment Area; the scope of necessary improvements; and the type of development to take place (for example, residential or commercial). (b) As a result of the phased redevelopment of the Redevelopment Area, the City anticipates that it will enter into a Redevelopment Agreement for the Redevelopment Area with Redeveloper which may provide for separate Redevelopment Agreements with Redeveloper for certain phases of redevelopment of the Redevelopment Area. The terms and conditions of such Redevelopment Agreements shall be subject to the provisions of this Agreement and the mutual agreement of Redeveloper and the City. 7. Redeveloper Actions. Redeveloper shall take the following actions: (a) By September 30, 2004: • Complete work with an Advisory Stakeholder Task Force to be appointed by the Council (to include property owners, residents, neighborhood groups, business owners and developers) in formulating the Implementation Plan. 4
