intended to be made pursuant to written and properly executed and
approved specific agreement.

Article II - Definitions

The City intends to issue a Construction Permit to the State for construction
improvements at the property as required to meet the State/s construction schedulel
provided that the State has identified all issues currently surrounding the property,
construction improvementsl and future use issues that will need to be addressed now
and possibly in the future.

The City has identified several current issues, which are the ponding, and
drainage needs for any construction improvements and the encroachment of the current
building, parking and signage upon city property, right-of-way used for parking without
formal property line setback.

The City has also identified an issue which may be a problem at a later date that
deals with the future use of the property: if the property currently shown as Parcel 2,
on Exhibit A, is needed for the reconstruction of Highway 36 and Snelling Avenue and if
the construction of a revised, expanded interchange would require Parcel 2 to be used,
then the parking would be substandard to meet parking needs of the property site.

The issues identified by the State are that the survey of the land boundary has
shown that the northerly three feet (approximate) of the Water1s Edge building is
encroaching on the City property, as is the Water's Edge sign and the northerly portion
of the parking lot.

Page 2 of3
