AttachmentC <br />!¦±¤¤¬¤­³ ¥®± #®¬¯±¤§¤­²¨µ¤ #«¤ ­ 5¯ $ ¸ Services <br />This Agreement ("Agreement") is made on the _______day of _____________________, 20 __ , between the <br />City of Roseville, a Municipal Corporation (hereinafter "City"), and Lightning Disposal, Inc., a Minnesota <br />Corporation (hereinafter "Contractor"). <br />Preliminary Statement <br />The City has adopted a policy regarding the selection and retention of contractors to provide a variety of <br />professional services for City projects. That policy requires that persons, firms or corporations providing such <br />services enter into written agreements with the City. The purpose of this Agreement is to set forth the terms and <br />conditions for the performance of recycling services by the Contractor. <br />The City and Contractor agree as follows: <br />Scope of Work Proposal <br />1. . The Contractor agrees to provide the comprehensive Clean Up Day work and <br />services described and shown in Exhibit A attached hereto ("Work"), in consideration for the compensation set <br />forth in Provision 3 below. <br />Following each Clean Up Day the City and Contractor shall meet to discuss modifications which could be made <br />to improve the city's Clean Up Day program. The Contractor shall incorporate, without additional charge, such <br />modifications as the city deems appropriate in providing the Work on the subsequent Clean Up Day. <br />Term <br />2. . The term of this Agreement shall be from February 1, 2015, through December 31, 2017, the date of <br />signature by the parties notwithstanding. <br />Compensation for Services <br />3. . The City agrees to pay the Contractor the compensation described in Exhibit B <br />attached hereto for the Work, subject to the following: <br />A. Any changes in the Work which may result in an increase to the compensation due the Contractor <br />shall require prior written approval of the City. The City will not pay additional compensation for Work <br />that does not have such prior written approval. <br />B. The Contractor may subcontract with Nitti Sanitation, Inc. to perform some of the Work to be <br />performed under this Agreement. The Contractor shall not retain any other subcontractors to perform the <br />Work without the prior written consent of the City. The Contractor shall, in accordance with Minnesota <br />Statutes §471.425, Subd. 4a, pay all subcontractors within ten days of the Contractor's receipt of <br />payment from the City for undisputed services provided by the subcontractor. In the event that the <br />Contractor fails to pay its subcontractors within 1 0 days, the Contractor must pay interest 1-1/2 % per <br />month or any part of a month to the subcontractor for any undisputed amount not paid to the <br />subcontractor on time. The minimum monthly interest penalty payment for an unpaid balance of $100 or <br />more is $10. For an unpaid balance of less than $100, the Contractor shall pay the actual penalty due to <br />the subcontractor. A subcontractor who prevails in a civil action to collect interest penalties from the <br />Contractor must be awarded its costs and disbursements, including attorney's fees, incurred in bringing <br />the action. <br />City Representative <br />4. . The Roseville Environmental Specialist, Ryan Johnson, shall act as the City's <br />representative with respect to the Work to be performed under this Agreement.
