Attachment A <br />Agreement for Professional Services Contracting <br />reement (ÐAgreementÑ) is made by and between the City of Roseville, a <br />This Ag <br />municipal corporation (hereinafter ÐCityÑ), and the North East Metropolitan Area Municipal <br />Internet Working Collaborative, an intergovernmental unit organized under a joint powers <br />agreement pursuant to Minnesota Statutes section 471.59 (hereinafter ÐMetro-INETÑ) <br />(collectively, the ÐPartiesÑ). <br />Recitals <br />WHEREAS, beginning in 1999, the City provided Information Technology services and <br />personnel to up to 44 local governmental units through a collaboration known as Metro-INET; <br />WHEREAS, beginning in 2021, Metro-INET became an independent organization providing IT <br />services to the local governmental units in the previous collaboration; <br />WHEREAS, Metro-INET desires to utilize City personnel necessary to perform IT services, as <br />well as associated administrative support services, until such time as Metro-INET can fully <br />employ a workforce to do so; <br />WHEREAS, such personnel includes: Information Technology services; Human Resources <br />services; Financial services; and Legal services; <br />WHEREAS, the City is agreeable to make such personnel available to Metro-INET on a contract <br />basis during such transition; and, <br />WHEREAS, the parties wish to memorialize in writing their respective duties and obligations <br />upon which their contractual agreement is premised. <br />NOW, THEREFORE, in consideration of the promises and covenants hereinafter contained, and <br />intending to be legally bound thereby, the City and Metro-INET agree as follows: <br />1.Scope of Work Proposal. The City agrees to provide the professional services described <br />in Exhibit ÐAÑ attached hereto (ÐWorkÑ) in consideration for the compensation set forth <br />in Provision 3 below . <br />2.Term. The term of this Agreement shall be from January 1, 2022 , through December 31, <br />2022, the date of signature by the Parties notwithstanding. <br />3.Compensation for Services. Metro-INET agrees to pay the City the compensation <br />described in Exhibit B attached hereto for the Work, subject to the following: <br />1 <br /> <br />
