<br />F. "Council" means the governing body of the City. <br /> <br />G. "Drop" means the cable that connects the subscriber terminal to <br />the nearest feeder cable of the system. <br /> <br />H. <br /> <br />"FCC" means the Federal Communications Commission and any <br />legally appointed, designated or elected agent or successor. <br /> <br />( <br /> <br />I. <br /> <br />"Grantee" is Group W Cable of North Suburbs, Inc., a Minnesota <br />corporation. <br /> <br />J. "Gross Revenues" means all revenue derived directly or <br />indirectly by Grantee, its affiliates, subsidiaries, parent, and <br />person in which Grantee has financial interest of five percent <br />(5%) or more from or in connection with the operation of the <br />System, including but not limited to, basic subscriber service <br />monthly fees, pay cable fees, installation and reconnect ion fees, <br />leased channel fees, converter rentals, studio rental, production <br />equipment & personnel fees and advertising revenues. The term <br />does not include any taxes on services furnished by Grantee and <br />imposed directly upon any subscriber or user by the State, City, <br />or other governmental unit. Gross Revenues shall not include <br />revenues for signals originating in or passing through the <br />franchise area for transmission to a cable system or subscriber <br />without the franchise area unless Grantee receives revenue for <br />such signal which has not already otherwise been directly or <br />indirectly subject to a franchise fee or similar tax, in which <br />case said revenues will be considered Gross Revenues for the <br />purpose of this franchise. <br /> <br />K. "Installation" means the connection of the System from feeder <br />cable to the point of connection. <br /> <br />L. "Lockout Device" means an optional mechanical or electrical <br />accessory to the subscriber's terminal which inhibits the viewing <br />of a certain program, certain channel or certain channels <br />provided by way of the cable communications system. <br /> <br />M. "Metropolitan Area" means the seven-county /Minneapolis/St. <br />Paul, Minnesota major metropolitan area. <br /> <br />N. "North Suburban Area" means the area encompassed by the <br />corporate boundaries of Arden Hills, Falcon Heights, <br />Lauderdale, Little Canada, Mounds View, New Brighton, North <br />Oaks, Roseville, St. Anthony, and Shoreview, Minnesota. <br /> <br />O. "Offering of Grantee" or "Offering" means that certain <br />documents dated October 1, 1981, entitled "Application for <br />Cable Television Franchise" and signed by Grantee, which <br />document is on file with the City Clerk. <br /> <br />- 4 - <br />
