<br />(c) The equipment used and procedures employed <br />in testing. <br /> <br />(d) Testing results. <br /> <br />( <br /> <br />(e) The method, if any, by which such System <br />performance problem was resolved. <br /> <br />(f) Any other information pertinent to said tests <br />and analyses which may be required by City or <br />determined when the test is performed. <br /> <br />City may require that tests be supervised at <br />Grantee's expense by a consultant designated by <br />City. The consultant shall sign all records of special <br />tests and forward to City such records with a report <br />interpreting the results of the tests and <br />recommending actions to be taken. <br /> <br />(7) Grantee shall exercise its best efforts to maintain a <br />modern state-of-the-art System which is comparable <br />to other operating cable television systems similarly <br />situated. As a result of the periodic review sessions, <br />City may request Grantee to modify or to upgrade <br />the System, or to provide additional services, and <br />authorize rate increases sufficient to insure the <br />economic feasibility of these changes. Grantee shall <br />implement such changes unless (a) technology does <br />not permit the suggested changes; (b) the proposed <br />changes and rate increases taken in combination are <br />not economically feasible; or (c) insufficient time <br />has been allowed for implementation. In the event <br />of a disagreement between City and Grantee with <br />respect to the items above, City may retain a cable <br />consultant to advise and assist both parties in <br />continued negotiations with respect to the changes <br />which City desires. Either party may initiate <br />binding arbitration pursuant to Minnesota Statutes <br />and Article XI, Section 2B, of this Franchise. Costs <br />of arbitration shall be shared equally by Grantee and <br />City. <br /> <br />l <br /> <br />SECTION 5. FRANCHISE RENEWAL <br /> <br />A. Grantee may apply for renewal of this Franchise at any time <br />prior to the expiration of this Franchise on forms provided by <br />City. In any event renegotiation shall commence at least 12 <br />months before the expiration of the Franchise term, unless the <br />City determines not to reissue the Franchise to Grantee or <br /> <br />- 41 - <br />
