Maintenance and Support Agreement <br />This Agreement for software maintenance and support services ("Agreement") is made <br />and entered into this 19th day of October, 2009 by and between Law Enforcement <br />Technology Group, LLC, a Minnesota limited liability company ("LETG") and City of Roseville <br />("C o R") . <br />Pursuant to the signed Software and Hardware License and Services Agreement, LETG <br />has licensed its proprietary software programs to CoR and CoR wishes to have LETG maintain <br />and support its use of the software and its corresponding equipment. For good and valuable <br />consideration, the parties agree as follows: <br />Section 1. DEFINITIONS. <br />"Equipment" means the physical hardware purchased by CoR from LETG pursuant to the <br />Software and Hardware License and Services Agreement. <br />"LETG Software" means software that LETG created. The term includes all Product Releases, <br />Standard Releases and Supplemental Releases. <br />"Non-LETG Software" means software that LETG does not own, but has been fully integrated into <br />the Software, and for which all necessary and other payments have been made to enable CoR to <br />enjoy full and unrestricted use thereof. <br />"Products" means the equipment (if applicable as indicated in Exhibit A) and software purchased <br />by CoR from LETG. <br />"Release" means an update or upgrade to the LETG Software and is characterized as a <br />"Supplemental Release," "Standard Release," or "Product Release." LETG shall determine the <br />definition for each Release, provided that if the Release is to be defined by LETG as a Standard <br />Release or a Product Release, LETG must also treat the Release as a new product or feature for <br />its end user customers generally. <br />A"Supplemental Release" is defined as a minor release of LETG Software that contains <br />primarily error corrections to an existing Standard Release and may contain limited <br />improvements that do not affect the overall structure of the LETG Software. Depending on <br />CoR's specific configuration, a Supplemental Release might not be applicable. <br />Supplemental Releases are identified by the third digit of the three-digit release number, <br />shown here as underlined: "1.2.3". <br />A"Standard Release" is defined as file and database conversions, system configuration <br />changes, hardware changes, additional training, on-site installation, and system downtime. <br />� Standard Releases are identified by the second digit of the three-digit release number, <br />� shown here as underlined: "1.2.3". <br />� A"Product Release" is defined as a major release of LETG Software considered being the <br />� next generation of an existing product or a new product offering.
