Attachment A <br />LICENSE AGREEMENT BETWEEN METROPOLITAN COUNCIL <br />AND <br />CITY OF ROSEVILLE <br />This Agreement, effective on the date of execution by both parties, is made and entered into by <br />and between the Metropolitan Council, a public corporation and political subdivision of the State <br />of Minnesota ("Council") and City of Roseville ("City") <br />RECITALS <br />WHEREAS, the CITY desires to provide transit alternatives to its residents and to contribute to <br />the reduction of transportation problems in the St. Paul and Minneapolis metropolitan area; <br />WHEREAS, the COUNCIL wishes to establish locations within the metropolitan area at which <br />passengers may park their automobiles and ride a COUNCIL bus to the downtown areas of <br />Minneapolis and St. Paul; <br />WHEREAS, the CITY owns and maintains a parking lot presently used primarily for parking by <br />employees and customers. <br />AGREEMENT <br />NOW, THEREFORE, FOR GOOD AND VALUASLE CONSIDERATION THE RECEIPT OF <br />WHICH IT IS MUTUALLY AGREED, by and between the parties hereto, as follows: <br />1. Use of Parking Lot. The COUNCIL may use 50 stalls of the parking lot (detailed on map <br />attached hereto as Exhibit A) owned by the CITY, located at 2661 Civic Center Drive in <br />Roseville as a park-and-ride lot for the parking of automobiles of COUNCIL passengers and <br />Metro Transit buses. <br />2. Time of Usage. The parking lot may be used by the COUNCIL Monday through Friday <br />except those which may be designated by the CITY from time to time for lot maintenance or <br />major events. <br />3. Maintenance. The CITY shall provide or arrange for provision of non-routine maintenance <br />or repair attributable to the extra usage of the parking lot resulting from this Agreement. The <br />COUNCIL shall reimburse the CITY for such non-routine costs attributable to the <br />COUNCIL' S usage upon documented, reasonable, out-of-pocket expenses for such non- <br />routine maintenance or repair costs based on the percentage of the parking lot used by <br />COUNCIL customers. <br />c:\documents and settings�nargaret.driscoll�local settings\temporary internet files\olkd6\111306_p_n_ride <br />agreement-met council.doc <br />
