The Cou��cil and the Grantee may arr,end this Agree��ent by mut�aal agreement. Subject to the li�i�itations ��rovided in Minnesota Statutes chapter 466, to ihe fullest exte�it pernlitted by Eaw, �he Grantee shali defend, indemnify and hold harrr�less the Counci] and its members, ernployees and agents frQm and against al� claims, dan�ages, losses and ex�enses; includrng but not ]imited to attar��eys' fees, arising out of or resulting from the candi�ct or i�np9e�nentatioa� oF the Project activities iunded by this grant; excepi to tt�e exten� the claims; �amages, las�es and expenses arise from the Co«r�cil's own negligence. Claims included in this indernnification incluc[E, wEEhout [imitation, any clairns asseRed pursuant to the Minnesota En�ironmenta] Respanse and Liat�ility net (MERLI�); Mit�nesata Statutes chapter 115B, t�te federal Cotnpre�ensive E��vironn�ental Response, Compensation, and Liabilit�r Act of 1980 (CERCLA) as amended, United States Code, tiile 42, sections 960t nr seq., and the federal Resource Conservation and Recovery Act of 1976 (RCRA) as amended, United States Code, title 42, sections 6901 et seq.
