administering this agreement shall be its City Manager, or another designated Roseville <br />employee or agent. <br />The Coalition's authorized agent for the purposes of administering this Agreement is its <br />Vice President— Administrator or another designated Coalition individual or agent. <br />Legal Capacity. The individuals signing this agreement on behalf of their respective <br />organizations represent and warrant that they are duly authorized to execute this agreement on <br />behalf of their respective governmental entities and that this agreement constitutes a valid, <br />binding and enforceable agreement. <br />Termination. Either party may terminate this GIS Services Agreement at any time and <br />without cause. No further payment shall be due or payable to Roseville from the date of such <br />termination. Notice of the termination shall be by registered letter sent to Company at the <br />above referenced address and shall take effect immediately. Roseville shall have no right of <br />recourse against the Coalition, any of its members, or the Board of Directors as a result of any <br />such termination. <br />Upon termination of this GIS Services Agreement Roseville shall immediately surrender to <br />Coalition any and all files, records, supplies, and any other property that belongs to the <br />Coalition. <br />IN WITNESS WHEREOF the City of Roseville and the Coalition have caused this agreement <br />to be executed by there duly authorized representatives.
