Staff and volunteers may use the facility outside the above-stated hours as needed for veterinary care, but shall not admit or discharge animals outside the above-stated hours except in the case of emergencies. 9. ASSIGNMENT AND SUBLETTING. During the term of this Lease, Tenant may not, without the express written consent of Lessor, assign this Lease or any interest herein, or sublease all or any part of the Properry, or in any way allow any other person to use its facilities without the express written consent of Lessor. 10. INDEMNIFICATION OF LESSOR. Tenant shall indemnify and save harmless Lessor from and against all liabilities, obligations, losses, damages, penalties, claims, actions, suits, costs, charges, and expenses, included reasonable attorney's fees, which may be imposed upon or incurred by or asserted against Lessor in respect of any use, nonuse, or condition of the Property created by Tenant or attributable to Tenant's use or manner of use of the Property. In the event that any action or proceeding shall be brought against Lessor by reason of any claim referred to in this paragraph, Tenant, upon written notice from Lessor, shall at Tenant's sole cost and expense resist or defend the same through counsel selected by Lessor. 1L INSURANCE. Tenant agrees to keep all of the improvements on the Property and the machinery contained therein constantly insured with an insurance company or companies licensed to do business in the State of Minnesota acceptable to Lessor for not less than the replacement cost of the improvements.
