Draft <br />For Discussion Only <br />BYLAWS OF THE Grass Lake Watershed Management Organization <br />v. 6.14.11 <br />These bylaws establish rules governing the conduct and procedure of business by the Board of <br />Commissioners (Board) of the Grass Lake Water Management Organization GLWMO) of <br />Ramsey County. <br />ARTICLE I: OFFICE <br />Section A. The place of business for the GLWMO and its principal office is located at <br />Roseville City Hall, 2660 Civic Center Drive, Roseville, MN 55113. The <br />GLWMO' s official records will be maintained at its principal office. The Board <br />may change the location of its principal office. <br />Section B. Regular meetings will take place at the principal office. The Board may conduct <br />the GLWMO meetings at other meeting places by posting notice on its Web -site <br />or at the regular meeting place at lease seventy two (72) hours before the time of <br />said meeting. {Article V (MEETINGS), section Al. <br />ARTICLE II: DEFINITION OF TERMS <br />Section A. For the purposes of these bylaws, the terms defined in this section shall have the <br />meanings given them. <br />Section B. GLWMO means, the operational body created by the formation of the Grass Lake <br />Watershed Management Organization by a Joint Powers Agreement (JPA) entered <br />into between the cities of Shoreview and Roseview as amended in 2005 and <br />attached here to. The GLWMO is a public agency of its Board. <br />Section C. `Board' means the Board of Commissioners {JPA Section III (BOARD of <br />COMMISSIONERS}}. <br />Section D. `Officers' means those persons designated to perform the duties as noted in <br />Article III (OFFICERS) of these bylaws. <br />Section E. `Official Business' will include: <br />Official Business is attending Annual, Regular, Special or emergency <br />meetings called for the purpose of conducting GLWMO business which <br />has been properly noticed. <br />-1- <br />
