Section A. Official Business, also, includes the assignment of a Commissioner to special duties or meetings, which the GLWMO Board of Commissioners by official motion has pre approved, to represent the interest of the GLWMO. ARTICLE III: GLWMO BOARD OF COMMISSIONERS The GLWMO Board of Commissioners shall be comprised of at least five (5) Commissioners who are appointed by the cities of Shoreview and Roseville per the provisions of the JPA, Section III. Section B. Board Officer Terms, Election, Unexpired Term 1) Terms of the Officers shall be for one (1) year, commencing on the date of the election. No Commissioner shall hold more that one office at a time. Election of the Officers shall be held at the GLWMO Annual Meeting. 2) Annually, the Chair shall appoint a nominating Committee to solicit candidates for officer positions and committee assignments. The Officers shall be elected annually and shall not serve for a period of more than (2) successive terms, unless unanimously elected by the Board of Commissioners at the Annual Meeting. 3) In the event of an unexpired term of a Commissioner, the Board shall immediately elect from among its members an individual who will perform the duties of that officer for the unexpired portion of the term. Section C. Duties of Officers 1) The Chair shall: a. Serve as chairperson for all meetings; b. Sign, in the name of the GLWMO, any contracts, correspondence, or other instruments pertaining to the business of the GLWMO as so authorized by majority vote of the Board; c. Be a signatory to the GLWMO accounts; oversee development of meeting agendas; have full voting privileges at all times, may vote on any issue, and need not confine his/her voting to break ties in voting by the Commissioners. d. The Chair shall assume No other duties or responsibilities except as granted by majority vote of the Board. 2-
